Agreement
By engaging Vyper Studios LLC for services, you agree to the terms set out in the countersigned Statement of Work. This page summarizes the standing terms that apply across all engagements.
Deliverables
Deliverables are described in the SoW. We deliver in weekly increments and provide access to a shared workspace (Notion + Figma + GitHub) for the duration of the project.
Payments
Fixed-price engagements are billed 50% at kickoff, 50% at launch. Retainers are billed monthly in advance. All amounts in USD unless the SoW states otherwise. Late payments accrue interest at 1.5% per month.
Intellectual property
On final payment, ownership of all deliverables transfers to you. We retain the right to display work in our portfolio and case studies unless the SoW specifies an NDA.
Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. This survives the end of the engagement for three years.
Limitation of liability
Our aggregate liability is limited to the total fees paid under the SoW in the 12 months preceding the claim. We are not liable for indirect or consequential damages.
Governing law
Wyoming, USA. Disputes go to arbitration in Cheyenne under AAA rules unless both parties agree otherwise.
